1. Acceptance and scope

These Terms of Service ("Terms") form an agreement between you and SuperWeb3.org ("SuperWeb3", "we", "us", or "our") and govern your access to and use of the SuperWeb3 website, application, APIs, and related services (the "Service").

By creating an account, connecting a wallet or exchange account, configuring a bot, or otherwise accessing the Service, you agree to these Terms and the policies linked from them, including our Privacy Policy. If you do not agree, do not access or use the Service.

If you accept these Terms for a company or other legal entity, you represent that you have authority to bind that entity. The Service is intended for your own account and personal use; you may not use it to manage another person's cryptocurrency holdings unless we have expressly agreed otherwise in writing.

2. Definitions

In these Terms:

  • "Account" means the account you create to access the Service.
  • "Digital Assets" means cryptocurrencies, tokens, stablecoins, or other blockchain-based assets.
  • "Connected Account" means a wallet, exchange account, or other third-party account that you authorize the Service to access.
  • "User Content" means settings, bot configurations, names, instructions, feedback, and other information you submit to or generate through the Service.
  • "Third-Party Services" means networks, wallets, exchanges, data providers, payment processors, or other services not operated by SuperWeb3.

3. The Service

SuperWeb3 provides software tools for configuring and monitoring trading bots, viewing performance information, connecting supported wallets or accounts, and accessing related content. The features available to you may change by product, jurisdiction, account status, or plan.

SuperWeb3 is a software provider. Unless a separate written agreement says otherwise, we do not take custody of your Digital Assets, execute trades as your broker, or act as your financial, investment, legal, tax, or other professional adviser.

The Service may include free features, paid features, trials, experiments, beta features, or features supplied by Third-Party Services. We may change, add, or remove features, subject to applicable law and any rights that cannot be excluded under these Terms.

4. Eligibility and your Account

You must be at least 18 years old and legally capable of entering into these Terms. You must not be suspended from the Service, use the Service from a prohibited jurisdiction, or use funds derived from unlawful activity.

You must provide accurate, complete, and current information when creating or maintaining your Account. We may request information reasonably necessary to verify your identity, protect the Service, or meet legal obligations.

Your Account is personal to you. You are responsible for activity carried out through your Account and for keeping your login credentials, recovery codes, devices, wallet permissions, and API credentials secure. Notify us promptly at [email protected] if you suspect unauthorized use.

5. Wallets, exchanges, and permissions

Some features require you to connect a wallet, exchange account, or other Connected Account. You authorize us to access only the information and permissions needed to provide the feature you select. You remain responsible for reviewing permissions and for activity on the Connected Account.

You must connect only accounts that belong to you or that you are authorized to use. The terms, fees, outages, security, and privacy practices of the provider of a Connected Account apply separately and are not controlled by SuperWeb3.

Blockchain transactions are generally irreversible and public. We do not ask for seed phrases or private keys. Never send them to us or enter them into an untrusted website. A connection, signature, bot configuration, or transaction may have irreversible consequences, including loss of Digital Assets.

6. Acceptable use

You may use the Service only for its intended purpose and in compliance with applicable law. You must not:

  • use the Service to manage another person's assets without our written permission or to impersonate another person or entity;
  • use the Service for fraud, money laundering, market manipulation, sanctions evasion, or any other unlawful activity;
  • upload or transmit malware, malicious code, unlawful or infringing material, or content that is threatening, abusive, harassing, defamatory, hateful, or obscene;
  • probe, scan, attack, overload, disrupt, bypass access controls, or interfere with the Service or its supporting networks;
  • copy, sell, resell, rent, sublicense, reverse engineer, decompile, disassemble, or create derivative works from the Service except where applicable law expressly permits it;
  • scrape or harvest information from the Service, remove proprietary notices, or use the Service to build a competing product; or
  • use automated access in a way that places unreasonable load on the Service or violates documentation, rate limits, or instructions we provide.

7. Security and responsible use

You are responsible for choosing strong credentials, enabling available multi-factor authentication, reviewing wallet and API permissions, keeping devices updated, and monitoring activity in your Account and Connected Accounts.

If you discover a vulnerability or security incident affecting your Account, disconnect the relevant account where possible and contact [email protected] promptly. Do not attempt to exploit or publicize a vulnerability before giving us a reasonable opportunity to investigate.

8. Plans, fees, renewals, and refunds

Certain features may require a subscription or other payment. The applicable price, billing period, taxes, and payment terms are shown at the time of purchase. A purchase is complete when we or our payment processor confirms it or enables the relevant feature.

Unless the checkout page or a separate agreement says otherwise, a paid plan renews for the same billing period until you cancel it. Cancel before the next renewal date to avoid the next charge. A cancellation normally takes effect at the end of the current paid period, while access may end sooner if required by law or if we terminate the plan for breach.

Prices, plans, trials, and payment methods may change. Changes will not affect a prepaid period and will apply to a renewal only after notice where required. Except where a refund is required by law or a stated refund policy applies, payments are non-refundable.

You authorize the payment provider to charge the selected payment method and agree to pay applicable taxes and transaction fees. If a payment fails, we may suspend paid features after giving any notice required by law.

9. User Content and feedback

You retain ownership of User Content that you submit. You grant SuperWeb3 a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, and display User Content only as reasonably necessary to provide, secure, troubleshoot, analyze, and improve the Service, or as otherwise described in our Privacy Policy.

You represent that you have the rights needed to submit User Content and grant this license, and that your User Content does not violate law, these Terms, or another person's rights. We may remove or restrict User Content that we reasonably believe creates legal, security, or operational risk.

If you send suggestions or feedback, you allow us to use it without restriction or compensation, provided we do not identify you publicly without permission where the law requires permission.

10. Intellectual property and license

The Service, including its software, interfaces, designs, text, graphics, trademarks, documentation, and other materials, is owned by or licensed to SuperWeb3 and is protected by intellectual-property laws. These Terms do not transfer ownership to you.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose during the period in which we make it available to you.

Third-party software and content may be governed by additional license terms. You must comply with those terms when they are presented to you.

11. Third-Party Services and links

The Service may display or depend on Third-Party Services, including blockchains, wallets, exchanges, market-data providers, authentication services, payment processors, and external links. Third parties control their own services, terms, fees, availability, and data practices.

A third-party integration or link does not mean that SuperWeb3 endorses, sponsors, or guarantees that third party. We are not responsible for third-party content, transactions, outages, security incidents, or losses arising from your relationship with a Third-Party Service.

12. Updates, experiments, and availability

We may release updates, security fixes, maintenance changes, or new versions of the Service. Some updates may be required to continue using a feature. We may also offer experimental or beta features that can be changed, suspended, or discontinued without notice.

We work to keep the Service available, but we do not promise uninterrupted, error-free, or continuous access. Availability may be affected by maintenance, device or network failures, blockchain congestion, exchange outages, Third-Party Services, or events outside our reasonable control.

13. Digital Asset risks and no advice

Digital Assets and automated trading involve substantial risk. Prices can be highly volatile, markets can be illiquid, and you may lose some or all of the value you commit. Technology, smart-contract, wallet, exchange, oracle, custody, regulatory, tax, and cybersecurity risks may be unknown or impossible to predict.

SuperWeb3 does not provide investment, financial, trading, legal, or tax advice. Information, charts, signals, bot settings, simulations, historical performance, and other content are for general information only and are not a recommendation or guarantee of future results. You are solely responsible for evaluating a strategy and deciding whether to use it.

Do not use the Service with money you cannot afford to lose. Obtain independent professional advice for your circumstances and confirm that your use of the Service is lawful where you live.

14. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all warranties and conditions not expressly stated in these Terms, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and freedom from defects or harmful code.

We do not warrant that the Service will meet your requirements, produce a particular return, execute a transaction, preserve data, or operate without interruption. Nothing in this section limits a warranty or consumer right that applicable law does not allow us to exclude.

15. Limitation of liability

To the maximum extent permitted by law, SuperWeb3 and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunities, data, goodwill, or Digital Assets arising from or related to the Service or these Terms.

To the maximum extent permitted by law, our total aggregate liability for claims arising from the Service or these Terms will not exceed the greater of the amount you paid to SuperWeb3 for the Service in the six months before the event giving rise to the claim or 100 USD. This limit does not apply to liability that cannot lawfully be limited or excluded.

16. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless SuperWeb3 and its affiliates, officers, employees, contractors, licensors, and service providers from claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your breach of these Terms, or your violation of law or another person's rights.

17. Suspension and termination

You may stop using the Service at any time and may delete your Account where that option is available. Before deleting an Account, disconnect any Connected Accounts and review or close open orders, positions, or bots as appropriate. Deleting an Account does not undo public blockchain records or obligations that accrued before deletion.

We may suspend or restrict access, disable a feature, or terminate an Account or paid plan if we reasonably believe you breached these Terms, created security or legal risk, failed to pay, used the Service unlawfully, or if doing so is necessary to protect the Service, our users, or a Third-Party Service. We will provide notice where required by law.

Sections that by their nature should survive termination will continue, including ownership, disclaimers, limitation of liability, indemnification, dispute provisions, and any payment obligations that accrued before termination.

18. Privacy, notices, and changes

Our Privacy Policy explains how we collect, use, and protect information in connection with the Service. By using the Service, you acknowledge that you have reviewed it.

We may update these Terms when the Service, law, or our practices change. We will post the updated version and revise the date above. For material changes, we will provide additional notice when required. Your continued use after the effective date of an update means you accept the updated Terms. If you do not agree, stop using the Service and delete your Account.

We may send notices through the Service, to the email address associated with your Account, or by another reasonable method. Keep your contact details current. Notices to SuperWeb3 should be sent to [email protected].

19. Governing law and contact

Before starting a formal proceeding, the parties will try in good faith to resolve a dispute by contacting [email protected] and discussing the issue. If the dispute cannot be resolved, it will be handled by the courts with jurisdiction over the SuperWeb3.org operator, except where mandatory law gives you the right to bring a claim elsewhere.

These Terms, and any dispute arising from them or the Service, are governed by the laws of the jurisdiction where the SuperWeb3.org operator is established, without regard to conflict-of-law rules, except to the extent mandatory consumer law applies.

SuperWeb3.org is currently the service name used in these Terms. The final legal entity name, registered address, and jurisdiction should be confirmed in this document before publication.

Questions about these Terms can be sent to [email protected]. Please do not include a seed phrase, private key, API secret, password, or other credential in any message.
